Terms of Service

These Terms of Service ("Terms") are a binding agreement between you (and the company or studio you represent, "you") and CurtainCall AI, Inc. ("CurtainCall," "we," "us," or "our"). They govern your use of thecurtaincall.art and our animation production services (the "Services"). By booking a demo, joining the waitlist, signing an order or statement of work, or otherwise using the Services, you agree to these Terms.

The short version. You own your source material and the finished animation we produce for you. You promise you have the rights to everything you upload. We promise to deliver the Services with reasonable care and not to train our models on your work. Specific projects are governed by a signed order or statement of work, which controls if it conflicts with these Terms.

1. The Services

CurtainCall converts source material you provide — scripts, comic and manga pages, panels, and reference art — into storyboards and animation through a review-and-approval workflow. The specific deliverables, timelines, fees, and resolution for any engagement are defined in an order form, quote, or statement of work ("Order"). Where an Order conflicts with these Terms, the Order controls for that engagement.

2. Eligibility and accounts

You must be at least 18 and able to enter into a contract. If you accept these Terms on behalf of a company or studio, you represent that you are authorized to bind it. You are responsible for the accuracy of the information you provide and for activity conducted under your account or engagement.

3. Your content and intellectual property

You own your work

As between you and CurtainCall, you retain all right, title, and interest in (a) the source material you submit ("Source Material") and (b) the storyboards, frames, and final animation we produce for you ("Output"). CurtainCall claims no ownership of, and acquires no license to broadcast, distribute, license, sell, or reuse, your Source Material or Output beyond what is necessary to perform the Services.

License you grant us

You grant CurtainCall a limited, non-exclusive, worldwide license to host, process, reproduce, and modify your Source Material solely to provide the Services, deliver your Output, and support your project. This license ends when we delete your Source Material in accordance with your engagement and our Privacy Policy, except for backups retained for a limited period or records we must keep by law.

Project-specific training, not general training

To deliver one-to-one style fidelity, our pipeline trains a project-specific model on your Source Material. That model and the style data derived from it are created and used solely to render your project and are not applied to any other customer's work. We retain or delete the project-specific model in line with your engagement and our Privacy Policy.

We will not use your Source Material, intermediate frames, Output, or any project-specific model to train, fine-tune, or improve our general or foundation models, and we will not add your work to any shared, cross-customer, or third-party training set.

Your representations

You represent and warrant that you own or have all rights, licenses, and permissions necessary to upload your Source Material and to authorize the Output, and that your Source Material and its use under these Terms do not infringe any third party's intellectual property, privacy, or other rights.

4. CurtainCall's intellectual property

The Services, our website, software, pipeline, models, and the CurtainCall name and branding are owned by CurtainCall and protected by intellectual-property laws. These Terms grant you no rights in them except the right to receive and use your Output. You may not copy, reverse-engineer, or attempt to extract our underlying technology.

5. Acceptable use

You agree not to use the Services to: upload material you do not have the rights to; create content that is unlawful, infringing, defamatory, or that depicts the sexual exploitation of minors; impersonate others or misrepresent affiliation; or interfere with or attempt to gain unauthorized access to the Services. We may suspend or terminate access for violations.

6. Fees and payment

Pricing is set out on our website and confirmed in your Order. Projects start from a base rate of $500 per finished minute and scale with the feature bundle (such as lip-sync, visual effects, and sound design) up to $1,200 per finished minute; tier minimums (for example, Pilot, Episode, and Series) apply as described in your Order. Unless your Order states otherwise, fees are quoted in U.S. dollars, are due as set out in the Order, and are exclusive of taxes. Late amounts may be subject to interest and suspension of work. Except as required by law or expressly stated in your Order, fees are non-refundable once work has begun.

7. Storyboard approval, revisions, and delivery

Our workflow includes a storyboard-approval stage. Animation begins only after you approve the storyboard; nothing renders without your sign-off. The number of revision rounds, delivery formats, and turnaround windows are those stated in your Order. Delivery estimates are good-faith targets and may be affected by the volume and quality of Source Material, the scope of revisions, and factors outside our control.

8. Confidentiality

Each party agrees to protect the other's confidential information and to use it only for the engagement. Your Source Material and unreleased Output are your confidential information. Non-disclosure agreements and project-level data-processing agreements are available on request and are standard for Series engagements.

9. Service descriptions and claims

We describe our Output as broadcast-ready and our style matching as high-fidelity. These describe the intended quality and delivery format of the Services and are not a promise that every frame will be identical to your Source Material or free of artifacts. Style fidelity depends on the quantity and quality of the Source Material you provide and is refined through the storyboard-approval stage. Where we provide a written style-fidelity report, it documents the match for that project and is not a warranty of any specific numeric result.

10. Warranties and disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, CurtainCall disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services will be uninterrupted, error-free, or will meet your specific creative or commercial expectations. We do not warrant any particular distribution, audience, or commercial outcome for your Output.

11. Limitation of liability

To the fullest extent permitted by law, CurtainCall will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Services. CurtainCall's total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid to CurtainCall for the engagement giving rise to the claim in the twelve months preceding the event.

12. Indemnification

You agree to indemnify and hold harmless CurtainCall and its officers, employees, and contractors from any claim, loss, or expense (including reasonable legal fees) arising from (a) your Source Material, (b) your breach of these Terms or your representations in Section 3, or (c) your use or distribution of the Output, including any claim that your Source Material or Output infringes a third party's rights.

13. Term and termination

These Terms apply while you use the Services. Either party may terminate an engagement as set out in the applicable Order. We may suspend or terminate access for violation of these Terms or non-payment. Provisions that by their nature should survive — including Sections 3, 4, 10, 11, 12, and 14 — survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, unless your Order specifies arbitration or another forum.

15. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide additional notice. Changes do not apply retroactively to a signed Order. Your continued use of the Services after an update constitutes acceptance.
